TERMS OF USE

By accessing or using Aizeum, you agree to be bound by these Terms of Use. These terms constitute a legally binding agreement between you and Aizeum, Inc.. If you do not agree to these terms in their entirety, you must not access or use the service. Your continued use of Aizeum after any modifications to these terms constitutes your acceptance of the updated terms.

Aizeum is a voice-first AI assistant that connects to third-party services including Google Calendar, Gmail, and financial platforms to act proactively on your behalf. The service is powered by artificial intelligence technologies including Anthropic Claude for language understanding and reasoning, Deepgram for speech recognition and transcription, and ElevenLabs for text-to-speech synthesis. Aizeum processes your voice input and natural language requests to perform actions, retrieve information, and automate tasks across connected services. Aizeum connects to financial platforms including Binance.US, Kraken, Coinbase, and Phantom wallet, and provides a native Aizeum Wallet powered by Privy.

You must provide accurate, current, and complete information when creating an account and keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You are responsible for all activity that occurs under your account. You must be at least 18 years of age to create an account and use Aizeum. By creating an account, you represent and warrant that you meet this age requirement. You must promptly notify Aizeum if you suspect any unauthorized access to or use of your account.

Aizeum offers optional paid subscription plans — Basic, Pro, and Elite — which unlock higher message and signal limits, additional connected exchanges, and advanced automation features. The plans available to you, the features each includes, and the price of each are shown in the app at the point of purchase, and the price displayed there is the price you will be charged. Prices vary by country and currency.

Subscriptions purchased through the Aizeum iOS app are auto-renewing and are sold, billed, and administered by Apple. Payment is charged to your Apple ID account at confirmation of purchase. Your subscription renews automatically for the same period at the then-current price, and your account is charged within 24 hours prior to the end of the current period, unless auto-renew is turned off at least 24 hours before the end of that period.

You can manage your subscription and turn off auto-renewal at any time in your Apple ID account settings, under Subscriptions. Cancelling stops future renewals; it does not shorten the period you have already paid for, and you keep access to paid features until that period ends. Deleting the Aizeum app does not cancel an active subscription.

All purchases made through the App Store are final and are governed by Apple's refund policy. Aizeum, Inc. cannot issue refunds for App Store purchases; refund requests must be made to Apple directly at reportaproblem.apple.com. Where a subscription is purchased outside the App Store, refunds are handled at the discretion of Aizeum, Inc.

Aizeum, Inc. may change subscription prices or the features included in a plan. Where a price increase affects an existing subscription, you will be notified in advance and the new price will not take effect for you until you consent to it in accordance with App Store rules. Continued use of a paid plan after a change takes effect constitutes acceptance of that change.

Aizeum integrates with third-party financial platforms including Binance.US, Kraken, and Coinbase, and supports Phantom wallet and an Aizeum Wallet powered by Privy, to enable trading and portfolio management functionality. Aizeum does not provide financial advice, investment advice, trading advice, or any other financial services. Any trading, investment, or financial action executed through Aizeum is entirely at your own risk. Aizeum, Inc. is not responsible for any financial losses, damages, or consequences resulting from trades or financial actions executed through the service, whether initiated by you directly or by the AI on your behalf.

Past performance is not indicative of future results. Markets can and do move against positions. You should always consult a qualified financial advisor before making any investment or trading decisions. By connecting financial accounts to Aizeum, you acknowledge and accept full responsibility for all resulting financial activity.

Aizeum connects to and acts on behalf of users within third-party services including but not limited to Google Workspace, Gmail, Google Calendar, Binance.US, Kraken, Coinbase, and Phantom wallet. The Aizeum Wallet is a native in-app wallet powered by Privy. By connecting these services to your Aizeum account, you explicitly authorize Aizeum to access, read, modify, and interact with those services on your behalf within the scope of permissions you grant.

Each third-party service operates under its own terms of service, privacy policy, and usage restrictions. You remain solely responsible for complying with the terms and conditions of each connected third-party service. Aizeum does not guarantee uninterrupted access to any third-party service and is not responsible for changes, limitations, or discontinuation of access imposed by those services.

To provide the service, Aizeum collects voice recordings, conversation history, usage data, and data retrieved from connected third-party services. This data is used to power AI features, improve service quality, and provide a personalized experience. Voice recordings and conversations may be processed by third-party AI providers as described in the AI Disclosure section below.

We take reasonable measures to protect your data, but no system is completely secure. You are responsible for understanding what data you share with Aizeum and connected services. For complete details on how we collect, use, store, and protect your data, please review our Privacy Policy.

Aizeum uses artificial intelligence to interpret, process, and respond to your requests. AI-generated responses and actions may be inaccurate, incomplete, contextually inappropriate, or otherwise incorrect. You should not rely solely on AI-generated content or AI-initiated actions for important, time-sensitive, or consequential decisions.

Third-party AI providers including Anthropic (Claude), Deepgram (speech recognition), and ElevenLabs (voice synthesis) process your data as part of delivering the service. Each of these providers operates under their own terms and privacy policies. Aizeum is not responsible for the behavior, outputs, or data handling practices of third-party AI providers beyond what is contractually required of them.

You may not use Aizeum for any unlawful purpose or in any manner that violates these terms. Prohibited uses include but are not limited to: using the service to engage in or facilitate illegal activities; using the service to harass, threaten, or harm other individuals; attempting to manipulate, disrupt, or exploit financial markets through the service; circumventing any laws, regulations, or platform rules through AI-assisted trading; attempting to reverse engineer, decompile, or extract the underlying models or systems powering Aizeum; using automated scripts or bots to interact with Aizeum beyond normal use; and sharing access to your account with unauthorized parties.

Aizeum reserves the right to suspend or terminate your account and access to the service at any time, with or without notice, for violation of these Terms of Use, for conduct that we determine to be harmful to other users or to Aizeum, or for any other reason at our sole discretion. Upon termination, your right to use the service ceases immediately. You may also terminate your account at any time by contacting support. Termination does not relieve you of obligations incurred prior to termination.

Aizeum is provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by applicable law, Aizeum, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or financial losses arising from or in connection with your use of or inability to use the service. Our total aggregate liability for any claims under these terms shall not exceed the amount you paid to Aizeum in the twelve months preceding the claim.

Aizeum, Inc. reserves the right to modify or update these Terms of Use at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify users via email or in-app notification. Your continued access to or use of Aizeum following the posting of updated terms constitutes your acceptance of those changes. It is your responsibility to review these terms periodically.

These terms apply to your use of the Aizeum application obtained from the Apple App Store.

Acknowledgement. You and Aizeum, Inc. acknowledge that these Terms of Use are concluded between you and Aizeum, Inc. only, and not with Apple Inc. ("Apple"). Aizeum, Inc., not Apple, is solely responsible for the Aizeum application and its content. These terms do not provide for usage rules for the application that conflict with the Apple Media Services Terms and Conditions.

Scope of License. Aizeum, Inc. grants you a non-transferable license to use the Aizeum application on any Apple-branded products that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing where Aizeum, Inc. has enabled it.

Maintenance and Support. Aizeum, Inc. is solely responsible for providing any maintenance and support services for the application, as specified in these terms or as required under applicable law. You and Aizeum, Inc. acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services for the application.

Warranty. Aizeum, Inc. is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Aizeum, Inc.

Product Claims. Aizeum, Inc., not Apple, is responsible for addressing any claims by you or any third party relating to the application or your possession and use of it, including but not limited to product liability claims, any claim that the application fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.

Intellectual Property Rights. In the event of any third-party claim that the application or your possession and use of it infringes that third party's intellectual property rights, Aizeum, Inc., not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such claim.

Legal Compliance. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

Developer Name and Address. The application is provided by Aizeum, Inc. Questions, complaints, and claims relating to the application should be directed to michael@aizeum.com, or by post to Aizeum, Inc., 3723 Greenville Avenue, Ste 46294, Dallas, TX 75206, United States.

Third Party Terms of Agreement. You must comply with applicable third party terms of agreement when using the application, including the Apple Media Services Terms and Conditions and the terms of any exchange, wallet, email, calendar, or AI service you connect to Aizeum.

Third Party Beneficiary. You and Aizeum, Inc. acknowledge and agree that Apple, and Apple's subsidiaries, are third party beneficiaries of these Terms of Use, and that upon your acceptance of these terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these terms against you as a third party beneficiary of them.
